Job Description

The Head of Legal for Insignia will be responsible for overseeing all legal matters pertaining to Insignia's operations globally. This role requires a strategic thinker with extensive legal expertise, particularly in the finance / luxury lifestyle industry, who can navigate complex legal landscapes and provide sound legal advice to support Insignia’s business objectives.


Key Responsibilities:


  • Management of the group legal function: effective structure definition, staff recruitment and development, definition of procedures.
  • The provision of reactive and pro-active legal advice to Group on all matters including regulatory, corporate, litigation, employment, IT, IP, DPA and general commercial to ensure all legal issues are identified and associated legal risk is managed appropriately.
  • Development and delivery strategic legal risk management initiatives such that the Group’s business activities comply with applicable laws and regulations.
  • Ensuring the provision of relevant management information to the Board.
  • Ensuring all external reporting including regulatory, litigation and trademarks is conducted on time and in a professional manner.
  • Implementation and development of legal strategy and plans.
  • Creation of effective global organizational structure for the Group of Companies, ensuring opening of new legal entities within the Group in accordance with corporate interests and local regulations.
  • Management of all litigation issues, including preparation of all necessary documents, representation of the Company in courts and ensuring of the Company’s interests’ maintenance.
  • Elaboration of corporate regulations and procedures for all business aspects.
  • Development of commercial and internal documents and contracts (for external suppliers, staff, etc.), review of all incoming legal documents from external partners.
  • Ensuring activation of the Company’s new finance and investment products in accordance with state regulations.
  • Management of legal budget.
  • Representation of the Company with fund raising and regulatory organizations.
  • Management of general legal aspects.
  • Oversee the accurate delivery of HR contracts for internal and external individuals, as well as reviewing and advising on various other contracts that are signed.


Professional Requirements:

  • Extensive experience at a bank/financial services company/law firm/family office/wealth management, or investment company.
  • A senior-level lawyer with an exceptional, thorough, and analytical approach to resolving issues, with effective communication and leadership skills and a luxury market experience.
  • Qualification for practice in UK as a lawyer, broad knowledge of English law, alongside knowledge of International law.
  • Experienced in managing group restructurings, joint venture, and M&A projects.
  • Extensive experience in advising on corporate and tax structuring, corporate governance, negligence, and employment law matters.
  • Experienced in commercial dispute resolution and other litigation matters.
  • Leading from a legal perspective on the launch of various regulated and unregulated local, European, US and Asian alternative joint-venture vehicles; providing structuring advice, steering negotiations with investors to raise equity capital; profound skills in drafting, reviewing, and negotiating partnership agreements, valuation agreements, depositary agreements and side letters, facility documentation, term sheets, inter-creditor agreements and security documents.
  • Experienced in debt financing transactions, re-financing's and debt restructurings, project finance, prepayment finance and export financing transactions.
  • Significant and in-depth knowledge of credit cards and/or financial services.
  • Strong interpersonal and communication skills.
  • Professional and commercial work approach.
  • People management experience.
