Job Description

Role Summary


Together with an assistant you will provide company secretarial services to a broad range of private entities, lending and leasing trading companies and other companies within the Triple Point Group. In this pivotal position, you will provide crucial support to the business, including Committee Support work, advisory support, and the use of Diligent entities. There will also be good exposure to transactional work.


Key Responsibilities


  • Producing documentation and relevant forms to reorganise share capital and structure; allotting and transferring shares; appointing/resigning and removal of directors and secretaries; issuing dividends and extensions/shortening of accounting reference dates.
  • Incorporating Limited companies, Limited Liability Partnerships and Charities.
  • Advising the Group on the requirement for relevant resolutions and changes to articles of association as necessary.
  • Arranging execution of documents, notarisation and legalization.
  • Making all necessary companies house filings including, confirmation statements and director/membership appointments and terminations and LEI renewals.
  • Coordinating, attending and drafting minutes for the Triple Point Investment Committee meetings.
  • Arranging and scheduling internal Group company Board meetings.
  • Liaising with department heads to collate and circulate Committee packs including the Risk Committee, Sustainability Committee and the Valuation Committee.
  • Maintaining the membership and terms of reference of the committees and refreshing on an annual basis.
  • Preparing personal trading company (“PTC”) meeting pack, effecting corporate transactions to include, but not be limited to, further capital contributions into the partnerships, share or partnership transfers, withdrawals and members’ voluntary liquidation.
  • Drafting weekly committee documentation for allotments and share buybacks and making those Companies House filings and producing share certificates through Diligent.
  • Ensuring accounts approved by the boards and filed on time.
  • Managing the Group’s insurance programme (D&O, Investment Management, Employer’s Liability etc.).


Knowledge and Experience

  • Strong academic background (from A Levels)
  • Fully qualified Chartered Company Secretary or Solicitor
  • Experience of a ‘hands on role’ in small company secretarial department
  • Demonstrable track record of high-quality minute taking
  • Proficient with Diligent Entities
