The Opportunity:

We are seeking a talented and experienced Senior Legal Counsel to join our dynamic team. This role offers the successful candidate the opportunity to work closely with the C-suite on a daily basis and make a significant impact during an exciting period of change and growth for the business. You will spearhead other wide ranging legal matters including data privacy queries and compliance matters.

With a big focus on commercial contracts, we are looking for a senior commercial technology lawyer with experience in fast moving sales driven organisations. You'll put your strong commercial acumen and solid experience drafting bespoke and template licence agreements for cloud based platforms to good use.

As one of the key guardians of risk mitigation, there is a lot of potential for this role and will be a fantastic opportunity for someone looking to advance their career to Head of Legal status in the coming years.

What you will do

This role will handle a wide range of legal issues that arise within the business including:

Commercial:

  • Lead negotiations of commercial contracts with key customers and suppliers.

  • Draft and review bespoke and template licence agreements for cloud-based platforms.

  • Ensure contracts align with best practices and appropriate risk management and mitigations.

  • Interact internationally with the territories that we & our clients operate in.

Risk:

  • Manage the company’s overall legal risk position.

  • Serve as a guardian of risk mitigation, contributing to the development and implementation of risk management strategies.

Privacy & Ethics:

  • Handle data privacy queries.

  • Contribute to the definition & fulfilment of ethics guidelines in the use of AI & customer data.

What you will need:

  • 8 - 10 years PQE as a UK qualified lawyer (or as a qualified lawyer in a common law based jurisdiction).

  • In-house experience working as a commercial technology lawyer for a small to medium sized software vendor, IT services company or cloud based platform.

  • Post-trainee experience in a reputable law firm.

  • Current practising certificate.

  • Solid experience in drafting and negotiating standard and complex technology contracts including subscription licence agreements, services agreements, SaaS contracts, statements of work, framework and master services agreements, partnership agreements, letters of intent, commercial term sheets, support and maintenance agreements, memorandum of understanding, development agreements and heads of agreement.

  • Expertise in privacy matters under GDPR and UK Data Privacy Act 2018, including drafting and negotiating data processing agreements.

  • Capability to operate independently, supported by external counsel when needed.

  • Strong interpersonal skills, interacting confidently with the C-Suite and senior managers.

  • An interest in artificial intelligence.

  • A track record advising on both the business and legal ramifications of commercial and strategic imperatives, including the negotiation and structuring of major commercial contracts and projects.

Desirable Requirements

  • Experience advising on intellectual property legal matters.

  • Experience advising on CCPA and other US privacy laws, acting as a named data privacy officer, and holding CIPP-E and/or US certifications.

  • Hands-on experience maintaining security certifications such as ISO 27001 and SOC2.

  • Experience in investment and/or M&A transactions.

This role is ideal for someone:

  • Who can pragmatically balance high legal standards with commercial imperatives.

  • Is open and solution orientated.

  • Highly collaborative.

  • Deep knowledge of enterprise SAAS & the needs of its associated sales cycles.

  • Experience of a scale up environment where some aspects are fully formed and others to be defined.

Reporting line:

Reporting to the Chief Operations Officer and supported by our Legal Manager.
