Job Title: Senior Legal Counsel (M&A)
Location: Reading - Hybrid (3 days per week on-site required)

About the Role:
We are seeking a highly experienced and motivated Senior Legal Counsel specialising in Mergers & Acquisitions to join our dynamic legal team in Reading. This role is integral to our ongoing strategic growth and requires a deep understanding of complex commercial transactions, corporate governance, and compliance. The ideal candidate will have a proven track record in managing and advising on M&A activities and a strong grasp of legal and regulatory frameworks.
Key Responsibilities:
- Review and manage M&A transaction documents including share and business sale agreements, put and call options, transitional services agreements, services contracts, site transfer agreements, ancillary documents, contract novations, IP assignment documents, etc.
- Identify and address typical issues such as warranty claims, completion accounts, trust arrangements, indemnities and liabilities, exclusivity, and arrangements with suppliers and customers.
- Provide legal support during the integration of businesses into or out of the group.
- Participate in and contribute to due diligence processes conducted by external lawyers.
- Manage corporate approvals including drafting and reviewing board and shareholder resolutions.
- Ensure compliance with applicable company laws, articles of association, shareholder agreements, joint venture agreements, and board/shareholder reserved matters.
- Collaborate with the Group Treasury function and other relevant departments.
- Understand and review relevant documents, and ask pertinent questions to ensure alignment with internal and external financing arrangements.
- Familiarity with clean team arrangements, confidential bid processes, information memorandum, and letters of engagement with external advisors is advantageous, though not essential.
Required Skills and Qualifications:
- Qualified Solicitor (UK or Dual Qualified)
- Minimum of 8 years Post-Qualification Experience (PQE)
- Extensive experience with complex commercial transactions, particularly M&A and restructuring
- Strong knowledge of corporate governance and compliance practices
- Excellent analytical, negotiation, and communication skills
- Ability to work effectively in a fast-paced, hybrid working environment
